Our Referral Program
IVY RX PLLC dba IVY RX (“IVY RX,” “We” or “Us”) hereby provides these Terms & Conditions governing our Referral Program (the “Program”) and individuals’ (the “Member(s)” or “You”) participating in the Program.
Agreement to Terms and Conditions
Participation in the Program constitutes Your full and unconditional agreement to and acceptance of these Terms and Conditions and the decisions of IVY RX in administering the Program, which are final and binding. You agree to review these Terms and Conditions periodically and shall be bound by any modifications. If You do not accept these Terms and Conditions, or any subsequent modifications, your sole and exclusive remedy is to end your participation in the Program. The Program is void where prohibited by law. Benefits to the Program are offered at the sole discretion of IVY RX. Furthermore, if we determine in our sole discretion that You have violated these Terms and Conditions, we may as permitted by law terminate your participation and eliminate any pending, current, or future benefits you may receive.
How the Program Works
From time to time, IVY RX may invite certain existing subscribers to IVY RX’s services (“Referral Sources”) to refer new subscribers to IVY RX’s services. The methods through which IVY RX may invite Referral Sources to refer new subscribers may vary and may include providing the Referral Source with a unique sign-up link to share with new subscribers, a shareable custom promotional code, or other similar methods (collectively, “Affiliate Link”). IVY RX may in its sole discretion place terms and conditions on the Program, such as limiting the platforms through which the Affiliate Link is shared or providing specific messaging that must accompany the Affiliate Link. For each new customer who subscribes to IVY RX’s services through the Referral Source’s Affiliate Link, IVY RX will provide the Referral Source with a reward (“Reward”). As of the Effective Date of these Terms and Conditions, the Reward is USD 50 deposited into the Referral Source’s PayPal account at the end of the month in which the Reward was earned. But IVY RX may change the Reward details, including the Reward amount, method, and payment frequency, at any time by updating these Terms and Conditions and/or by providing notice to the Referral Source. We reserve the right to modify, terminate or suspend Rewards due to error, fraud, misuse and/or manipulation using technology or otherwise. You must provide and maintain the accuracy, currency, and completeness of your personal information to maintain your eligibility. In order to receive credit, your referral must use your link. IVY RX reserves the right to suspend, terminate, or refuse your current or future participation in the Program.
Your Representations
With respect to your participation in the Program, you agree to act in accordance with all applicable laws, rules, and regulations, including social media platform rules. You agree that you will not post content that (a) is false, misleading, offensive, hateful, dangerous, harassing, or illegal, (b) infringes, misappropriates, or violates the rights of any third party, or (c) otherwise does not comply with IVY RX’s image or the spirit of the Program or IVY RX’s products or services, as determined by IVY RX in its sole discretion. Violation of any of the foregoing representations is grounds for termination of Your participation in the Program.
Advertising Disclosures
It must always be clear that any communication containing an Affiliate Link is materially connected to IVY RX. In some cases, this may be clear from the nature of the Affiliate Link itself. In other cases, a clear and conspicuous disclosure may be necessary to alert viewers to the sponsored nature of the Affiliate Link. If in doubt as to whether a disclosure is necessary, contact IVY RX or err on the side of disclosure (e.g., #IVYRX_sponsored, #IVYRX_ReferralProgram). IVY RX has the unrestricted right to require You to modify any content to include such disclosures or provide You with specific messaging to accompany Your Affiliate Link. IVY RX has the unrestricted right to require You to delete any content that is found in violation or not in the spirit of the program.
Support and Opt-out:
For support regarding the Program, please email [email protected]. Opting out of the Program is generally unnecessary; You may simply refrain from distributing Your Affiliate Link.
Content License
If You choose to submit or post any material, including but not limited to text, images, graphics, photographs, or audio or video recordings (“Content”) in connection with the Program, You grant to IVY RX a non-exclusive, sublicensable, transferrable, royalty-free, perpetual, irrevocable, worldwide license to use the Content for any purpose, including without limitation for IVY RX’s advertising and promotional purposes, in all media currently known and hereinafter devised, all without notice to You.
Modifications to Program; Termination
We reserve the right, in our sole discretion, to limit, suspend, cancel, discontinue, terminate, change, amend, or modify the Program and its Terms and Conditions, any related FAQs or other policies in whole or in part, at any time and without notice to You (including, but not limited to, our right to expire rewards if the Terms and Conditions as stated herein are not met by You) by posting such amended terms to this website. Your continued participation in the Program means that You accept and agree to the amended terms.
Disclaimers
IVY RX shall not be responsible for software defects or computer malfunctions or telecommunications failures that affect the operation of the Program. Likewise, we shall not be responsible for incorrect or inaccurate entry information, whether caused by Members or by any of the software or equipment used in administering the Program. IVY RX assumes no responsibility or liability for any error, omission, interruption, deletion, loss, theft, or destruction of account balance information or other membership information. We disclaim all responsibility for any loss, injury, claim, liability, or damage of any kind resulting from, arising out of, or in any way related to (a) any errors or omissions in administering the Program or related websites, including but not limited to technical inaccuracies and typographical errors, (b) any third-party websites or content therein directly or indirectly accessed through links on these sites, including but not limited to any errors or omissions therefrom, (c) the unavailability of these sites or any portion thereof, (d) your use of these sites, or (e) your use of any equipment or software in connection with these sites.
Limitation of Liability
YOU UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT YOUR PARTICIPATION IN THIS PROGRAM IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PROVIDED UNDER APPLICABLE LAW, IVY RX SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST REVENUES OR LOST PROFITS, IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THIS PROGRAM.
Choice of Law; Class Action Waiver
These Terms and Conditions will be governed by and construed in accordance with the internal laws of Ohio without regard to conflicts of laws principles. You hereby agree that any and all disputes regarding these Terms and Conditions will be subject to the courts located in Ohio. YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THESE TERMS WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.
Headings
The headings of each of these Terms and Conditions are for convenience of reference only. Such headings shall be ignored in the interpretation or construction of any of these Terms and Conditions.
Severability
If any portion of these Terms and Conditions is held to be unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intention, and the remainder of the provisions shall remain in full force and effect.
No Waivers
Any failure by IVY RX to insist upon or enforce strict performance of any provision of these Terms and Conditions shall not be construed as a waiver of any provision or right.
